Villa Takeover Done & Dusted

Offer unconditional in all respects

Further to the announcement made on 14 August 2006 by RAL of its offer to acquire the entire issued and to be issued share capital of Aston Villa (the 'Offer'), RAL announces that all conditions relating to the Offer have been satisfied or waived. Accordingly the Offer has been declared unconditional in all respects. The Offer will remain open for acceptance until further notice.

Level of acceptances

As at 1.00 p.m. (London time) on 18 September 2006, valid acceptances had been received in respect of 10,269,965 Aston Villa Shares, representing approximately 89.69 per cent. of Aston Villa's issued share capital to which the Offer relates (being 11,449,245 Aston Villa Shares).

This total includes acceptances in respect of 6,508,423 Aston Villa Shares for which RAL had received irrevocable undertakings to accept the Offer, representing approximately 56.85 per cent. of the issued share capital of Aston Villa.

Neither RAL nor any person acting in concert with RAL for the purposes of the Offer held any Aston Villa Shares (or rights over such shares) before 19 September 2005, the first day of the Offer Period, nor has any such person acquired or agreed to acquire any such shares (or rights over such shares) since the commencement of the Offer Period.

This announcement should be read in conjunction with the Offer Document dated 14 August 2006. Terms used in this announcement shall have the meaning given to them in the Offer Document.

Further acceptances

For Aston Villa Shares held in certificated form, Forms of Acceptance not returned should be completed and returned in accordance with the instructions set out in the Offer Document and on the Form of Acceptance so as to be received as soon as possible.

For Aston Villa Shares held in uncertificated form, Electronic Acceptances should be made in accordance with the instructions set out the Offer Document so that settlement occurs as soon as possible.


Settlement of the consideration to which any Aston Villa Shareholder is entitled under the Offer in respect of valid acceptances received by no later than 1.00 pm on 18 September 2006 will be dispatched (or in respect of Aston Villa Shares held in uncertificated form, credited through CREST) on or before 2 October 2006. Settlement of the consideration in respect of valid acceptances received on or after 18 September 2006 will be dispatched (or in respect of Aston Villa Shares held in uncertificated form, credited through CREST) within 14 days of receipt of such acceptances.

De-listing, cancellation of trading and compulsory acquisition

As a result of the Offer being declared unconditional in all respects, it is RAL's intention to procure the making of an application by Aston Villa to the UK Listing Authority for the cancellation of the listing of the Aston Villa Shares on the Official List and to the London Stock Exchange for the cancellation of the trading in Aston Villa Shares on its market for listed securities. It is anticipated that the cancellation will take effect at 7.00am on 17 October 2006, being the date which is 20 Business Days following the date of this announcement.

Aston Villa Shareholders are reminded that de-listing and the cancellation of trading in Aston Villa Shares will significantly reduce the liquidity and marketability of any Aston Villa Shares.

In addition, at such time as RAL has contracted to acquire more than 90 per cent. of the Aston Villa Shares to which the Offer relates, RAL intends to exercise its rights in accordance with Schedule 2 to the Takeovers Directive (Interim Implementation) Regulations 2006 to acquire the remaining Aston Villa Shares.

This is great news. To get nearly 90% in just over a month is exceptional to say the least - The rest is just a formality. I now want to see in writing and confirmed that Randy has been installed as the new Chairman and that we have a new board in place. To know officially that Herbert and his Stooges are no longer in place will be the best news! Up the Villa - This is the start of something great for our club again, and boy do we deserve it!

Sky and the BBC seem to be saying that the takeover is a "step closer" rather than being completed. What's all that about?

I guess officially it should be 90% - but as it has been declared unconditional, it means RAL have accepted the 89.69% as sufficient to waive the remaining .31%, although they still want that to enable them to compulsary buy the other 10%.

I am as pleased as everybody that the evil one has departed. I am also one of the few who thinks that for being part of the consortium that did so much good in 1968, he has earned the 'Honorary President' title. Pity what promised so much 38 years ago should end up in animosity. And here is the warning. Having an unknown American own our club lock stock, needs careful monitoring. All the right noises have so far been made, however Villa is a club of the people. Having a single owner has many pitfalls. Money is not going to be thrown around with reckless abandon. There are three key elements that will determine the success of our club over the coming years. One. The new chairman instills the right, behind the scenes team and provides the necessary funds to market Aston Villa globally. Two. The team manager has to be one that can attract and motivate the best players and consistently deliver Champions League Football. Three. Fans must give 110% support and fill VP every week. If one of these key denominators is not achieved then it will fail. The best players will not be attracted to playing in front of empty seats. Empty seats means you can not attract the best players and in turn means we miss out on Champions League Football. If we are not competing for the top honours we will not attract the best managers. It is very simple. Ask yourself the question. Would you put your money into something that your audience wasn't buying? It is no good saying if we are successful then I will turn up. By making VP the most vibrant ground in the UK the rest of the plan will follow. If we can not fill our ground we only have ourselves to blame if the club does not go from strength to strength. Only if we keep our side of the bargain can we complain if we do not reach our targets. We are competing with Chelski, Redscouse, Manure, The Arse, Newcrapstle and Spuds. They all charge more than us and they all fill their ground. If you were a player and had the choice of playing in front of full houses or at VP what would you choose? Only by filling VP every week can we change that perception. I think it is time for the Lion to roar again. Are you part of the PRIDE? Or are you one of the stayaways I will be blaming if we do not get the success we want. No doubt somebody will respond in the negative, somebody will always make excuses.

Out with the old, in with the new. We stand on the threshold of hopefully a successful, exciting area for the club. There will be changes, big changes, not all meeting with our universal approval. The new board are all big time professional hitters, and that has to bode well for the days ahead. So difficult to believe that under three months ago, we were all in the depths of despair, dreading the thought of what the upcoming season held for us.
